Terms of Service

These Terms of Service ("Terms") govern your use of RideAtrium (the "Service"), operated by RideAtrium, Inc. ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

RideAtrium is a software company. We license a technology platform that connects independent transportation providers ("Drivers") with individuals seeking rides ("Riders"). RideAtrium provides software tools including booking management, GPS sharing, payment processing infrastructure, and related platform features.

RIDEATRIUM IS A SOFTWARE COMPANY ONLY. RIDEATRIUM DOES NOT PROVIDE, OFFER, ARRANGE, BROKER, OR OPERATE TRANSPORTATION SERVICES. RIDEATRIUM IS NOT A TRANSPORTATION PROVIDER, TRANSPORTATION NETWORK COMPANY, MOTOR CARRIER, FOR-HIRE CARRIER, OR COMMON CARRIER OF ANY KIND. RIDEATRIUM DOES NOT OWN, LEASE, OPERATE, OR INSURE ANY VEHICLE. RIDEATRIUM DOES NOT EMPLOY ANY DRIVER.

RideAtrium has no control over and does not guarantee the quality, safety, legality, or availability of transportation services offered by Drivers. Drivers and Riders enter into direct agreements with one another, and RideAtrium is not a party to those agreements. Any ride provided by a Driver is a service rendered by that Driver alone, not by RideAtrium.

2. Technology Platform Only; No Transportation or Brokerage

To remove any doubt, and as a material term on which RideAtrium offers the Service:

  • (a) RideAtrium does not hold itself out as a common carrier, contract carrier, transportation network company (TNC), or for-hire motor carrier under 49 U.S.C. §§ 13102 or 14501, or any state-law analog, and does not accept or consign any obligation to arrange or dispatch transportation.
  • (b) RideAtrium does not control a Driver's routes, hours, acceptance decisions, or pricing, except for posted Rider-facing rate floors and ceilings the platform may publish from time to time to protect Riders against outlier pricing.
  • (c) RideAtrium does not receive, hold, or disburse fare proceeds. Rider funds are tokenized by Stripe, Inc. and flow directly to the Driver's Stripe Connect account at ride completion; no Rider-payable amount ever sits on RideAtrium's balance sheet.
  • (d) RideAtrium does not own, lease, operate, insure, or maintain any vehicle.
  • (e) RideAtrium does not employ any Driver, and no provision of these Terms or the separate Driver Agreement is intended to create an employer / employee, agency, joint-venture, or partnership relationship.

Each Driver is solely responsible for determining whether, and under what authority, the Driver is permitted to offer transportation in the Driver's jurisdiction, including any TNC registration, chauffeur or for-hire licensure, airport-pickup permit, and municipal dispatch rule. Drivers operating in New York City expressly acknowledge that the New York City Taxi and Limousine Commission ("NYC TLC") regulates dispatch of for-hire vehicles and that RideAtrium does not provide dispatch within the meaning of the NYC TLC rules.

3. Accounts

To use the Service, you must be at least 18 years of age. Drivers must also meet any additional age or licensing requirements imposed by their operating state. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at legal@rideatrium.com if you suspect unauthorized access to your account. Only one account per person is permitted.

4. Subscriptions and Billing

This section applies to Drivers only. Access to Driver features requires an active RideAtrium subscription. RideAtrium's subscription is an earnings-tiered monthly fee — your bill rises or falls with the total fares you earn during the billing period, in accordance with the fee schedule published at /legal/pricing-disclosure and the plan card on /pricing. Subscriptions are processed through Stripe, Inc. and are month-to-month with no long-term commitment. Further subscription-fee mechanics — trial, tier brackets, cliff-protection grace credit, and disclaimers — are set forth in Section 13.

You may cancel your subscription at any time from your account dashboard or the Stripe Billing Portal linked from that dashboard. Cancellation takes effect at the end of your current billing period; you retain access to paid features through that date. RideAtrium takes no commission on fares you collect from Riders — your subscription fee is the entirety of what you owe RideAtrium for use of the Service.

5. Rider Terms

Riders use the Service to discover and request rides from independent Drivers. By requesting a ride, you acknowledge and agree to the following:

  • You are solely responsible for providing accurate pickup and drop-off information. RideAtrium is not liable for delays or failed pickups resulting from incorrect information.
  • For card-on-file bookings, payment is authorized at the time of booking and captured upon completion of the ride. See Section 11 for full payment details.
  • You must be present and ready at your designated pickup location at the agreed time. Failure to appear may result in a no-show fee charged at the Driver's discretion.
  • Cancellations made after a Driver has accepted your ride may result in a cancellation fee, subject to the Driver's cancellation policy.
  • You acknowledge that Drivers are independent contractors and not employees, agents, or representatives of RideAtrium. RideAtrium is not responsible for the acts or omissions of any Driver.

6. Driver as Independent Contractor

Drivers using the Service are independent contractors. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between RideAtrium and any Driver. Specifically:

  • Drivers control their own hours and schedule and are free to accept or decline any ride request at their sole discretion, without any acceptance-rate-based performance rating or deactivation pressure imposed by RideAtrium.
  • Drivers provide their own vehicle, equipment, and tools necessary to perform transportation services.
  • Drivers set their own fares where the platform allows, and collect payment directly from Riders via Stripe Connect.
  • Drivers are solely responsible for all applicable taxes, including self-employment taxes. RideAtrium or its payment processor (Stripe Connect) may issue IRS Form 1099 where required by law.
  • Drivers are not entitled to any employee benefits from RideAtrium, including health insurance, workers' compensation, unemployment benefits, or paid leave.
  • Drivers are solely responsible for obtaining and maintaining all required licenses, permits, and insurance coverage.

7. Driver Responsibilities

By using the Service as a Driver, you represent, warrant, and agree that:

  • You hold a valid driver's license appropriate for the vehicle you operate and the services you provide.
  • Your vehicle is currently registered, inspected, and maintained in a safe and operable condition.
  • You maintain vehicle insurance that meets or exceeds the minimum requirements under applicable state law for transportation network company (TNC) drivers.
  • You will comply with all applicable federal, state, and local laws governing transportation services in your operating area.
  • You are responsible for the safety, quality, and professional conduct of every ride you provide through the platform.
  • You represent and warrant that you meet all RideAtrium Driver eligibility criteria set forth in the Driver Agreement, and you will promptly notify RideAtrium of any disqualifying events.
  • You will never operate a vehicle while under the influence of alcohol, drugs, or any substance that impairs your ability to drive safely.

8. Driver Eligibility and Safety Representations

Each time a Driver logs in to the Service, the Driver re-affirms, as a condition of continued access, that all of the following remain true. These representations — not RideAtrium's verification — are the operative assurance to Riders and the public:

  • (a) The Driver affirmatively represents and warrants, under penalty of deactivation and potential civil liability, that none of the disqualifying offenses enumerated in Exhibit A to the Driver Agreement applies to the Driver — specifically, the Driver has no felony conviction, no violent offense, no sexual offense, no DUI or reckless-driving conviction within the last seven (7) years, and no currently revoked or suspended driver's license. Exhibit A is at /legal/driver-agreement.
  • (b) No event listed as disqualifying in Exhibit A to the Driver Agreement has occurred since the Driver's most recent eligibility re-certification, and the Driver will notify RideAtrium within forty-eight (48) hours of any such event.
  • (c) The Driver carries primary motor liability insurance that meets or exceeds the state's for-hire or transportation network company minimum limits, and that coverage remains in full force throughout every period the Driver is logged in to the Service.
  • (d) The Driver has uploaded, and keeps current, a valid driver's license, current vehicle registration, and current insurance declarations page — each of which RideAtrium may reject, expire, or require re-verification at any time.
  • (e) The Driver will notify RideAtrium at legal@rideatrium.com within forty-eight (48) hours of any change in (a)–(d), including license suspension, expiration of insurance, a new disqualifying offense, or any other material event.

Until a Driver's eligibility is established in the platform (documents approved, eligibility representations on file, Stripe Connect onboarded, and an active subscription), the Service will not permit the Driver to accept any booking — any attempt to accept returns a 403 response pointing the Driver to the screen where the outstanding requirement can be cured.

9. Insurance Disclaimer

RIDEATRIUM DOES NOT PROVIDE INSURANCE OF ANY KIND. RIDEATRIUM DOES NOT OFFER, MAINTAIN, PROCURE, ARRANGE, BROKER, SUBSIDIZE, OR CONTRIBUTE TO ANY INSURANCE COVERAGE FOR DRIVERS, RIDERS, VEHICLES, PASSENGERS, OR THIRD PARTIES.

This includes, without limitation, any form of: commercial auto insurance, personal auto insurance, primary liability coverage, excess or umbrella coverage, contingent liability coverage, gap coverage, uninsured or underinsured motorist coverage, collision or comprehensive coverage, medical payments coverage, personal injury protection (PIP), rideshare or transportation network company (TNC) policies, workers' compensation, occupational accident insurance, disability insurance, health insurance, life insurance, property insurance, or any other form of financial responsibility or indemnification. RideAtrium is a software company and provides none of the above, either directly or indirectly.

Each Driver is solely and fully responsible for obtaining and maintaining all insurance coverage required by applicable federal, state, and local law, including any coverage specific to for-hire transportation, rideshare, or transportation network company (TNC) operations. RideAtrium does not verify, inspect, underwrite, or guarantee any Driver's insurance coverage.

In the State of Utah, transportation network company (TNC) drivers are required under Utah Code § 13-51-108 to maintain a minimum of $1,000,000 per-occurrence liability insurance coverage during prearranged rides. Drivers operating in Utah acknowledge this requirement and represent that they maintain compliant coverage at all times while using the Service. This requirement is a state-law obligation of the Driver; RideAtrium is not the insurer and does not fulfill this obligation on the Driver's behalf.

Riders acknowledge that any ride obtained through the Service is provided by an independent Driver using that Driver's own vehicle and insurance. Riders are encouraged to verify their Driver's insurance status prior to entering any vehicle. In the event of an accident, injury, property loss, or other incident occurring before, during, or after a ride, the Rider's sole recourse for insurance claims is against the Driver, the Driver's insurer, the Rider's own insurer, or another third party — not against RideAtrium. RideAtrium disclaims all liability arising from any Driver's failure to maintain adequate insurance coverage or from any gap, exclusion, denial, or insufficiency in any insurance policy held by any Driver, Rider, or third party.

10. Acceptable Use

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Prohibited conduct includes, but is not limited to:

  • Using the Service to facilitate any illegal activity.
  • Harassing, threatening, or abusing any other user of the Service.
  • Scraping, crawling, or systematically extracting data from the Service without our express written permission.
  • Reverse engineering, decompiling, or attempting to derive the source code of any component of the Service.
  • Circumventing, disabling, or interfering with security features of the Service.
  • Sending unsolicited commercial messages or spam to other users.
  • Impersonating any person or entity, or falsely representing your affiliation with any person or entity.

11. Payment Processing

Card-based payments on the Service are processed by Stripe, Inc. RideAtrium does not store full card numbers; payment credentials are tokenized and managed by Stripe in accordance with their security standards.

For card-on-file bookings, a payment authorization is placed on the Rider's card at the time of booking. The charge is captured when the Driver marks the ride as complete. RideAtrium does not hold, pool, or control Rider funds at any point — payment flows directly to the Driver's Stripe Connect account upon capture.

The Service also supports off-platform payment methods, including Zelle, CashApp, Venmo, and cash. When a Rider and Driver elect to transact via an off-platform method, that payment occurs entirely between those parties. RideAtrium is not a party to such transactions, does not facilitate them, and assumes no liability in connection with them.

12. Chargebacks, Refunds, and Payment Disputes

Because fare payments flow directly from Rider to Driver via Stripe Connect, chargebacks and payment reversals are handled by Stripe against the responsible Driver's Connect balance. RideAtrium is not a party to any chargeback, refund request, or payment dispute between a Rider and a Driver, and RideAtrium does not guarantee or underwrite any Driver's receipt of funds.

Riders and Drivers agree to attempt a good-faith direct resolution of any payment dispute before escalating to Stripe, a card issuer, or a court. RideAtrium may, in its sole discretion and as a courtesy, provide non-binding mediation of such disputes, but does not assume any duty to do so, and any mediation RideAtrium provides is without prejudice to either party's rights against the other or against Stripe.

RideAtrium subscription fees paid by Drivers (Section 13) are billed in arrears against metered usage and are non-refundable for any partial month, except as required by law. If a Driver cancels mid-period, the Driver retains access through the end of the period but is not entitled to a pro-rata refund of the current-period invoice.

13. Driver Subscription Fees

This section states the material terms of the RideAtrium Driver subscription. It is intended to satisfy the "clear and conspicuous" disclosure standard of 15 U.S.C. § 45 and its state-law analogs. The full fee schedule for every market where RideAtrium operates is published at /legal/pricing-disclosure and mirrored on the marketing plan card at /pricing.

  • Earnings-tiered model. A Driver's monthly subscription bill is determined by the Driver's total completed-ride earnings during that billing period, rising through discrete brackets ("tiers"). Each market has its own tier ladder published in the fee schedule. Earnings below the first bracket ceiling are billed at the first-bracket flat amount; higher earnings move the Driver to the corresponding higher bracket for that period only. Tiers reset at the start of each billing period.
  • No commission. The subscription is payment for access to the RideAtrium technology platform only. RideAtrium takes no commission or per-ride fee on any fare. Riders' fare payments pass through Stripe to the Driver's Connect account net of Stripe's processing fees; RideAtrium receives none of that money.
  • 30-day free trial. Each new Driver account is eligible for one (1) 30-day free trial with no subscription charge until day 31. The trial benefit is one-time per Driver account and is tracked by an internal flag (hasUsedFreeTrial); Drivers who cancel and later re-subscribe, or who switch markets, do not receive a second trial.
  • Cliff-protection grace credit. If a Driver's period-to-date earnings cross into a higher tier during the final forty-eight (48) hours of the billing period by no more than thirty dollars ($30), RideAtrium will, as a contractual benefit (and not a discretionary refund), issue a Stripe coupon equal to the difference between the higher-tier and the immediately-lower-tier bill and attach it to the next period's invoice. This mechanic is described on the Driver's subscription dashboard.
  • Auto-renewal. Subscriptions auto-renew monthly on the Driver's billing date until cancelled. Cancellation takes effect at the end of the current period (see Section 12, last paragraph).
  • Price / ladder changes. RideAtrium may change the subscription price or tier ladder on thirty (30) days' advance notice. On next login after an effective change, the Driver will be required to re-accept the updated fee schedule before being permitted to accept further bookings.
  • What the subscription is not. The subscription is not a commission on fares, a surge fee, a rider-facing charge, an insurance premium, or a payment to any third party. It is the sole amount the Driver owes RideAtrium for use of the Service.

14. Third-Party Services

The Service integrates with or relies on third-party services, including Stripe (payment processing), Google Maps (mapping and location services), and push notification providers. Your use of those services is governed by their respective terms of service and privacy policies, which you are encouraged to review.

RideAtrium is not responsible for the availability, accuracy, or continuity of any third-party service, and we are not liable for any harm arising from changes to or outages of those services.

15. Referral Credits and Tax Reporting

RideAtrium may from time to time offer referral credits against future subscription fees when a user invites another user who qualifies under the then-current referral program. Referral credits:

  • Have no cash value, are not transferable, and may not be sold, bartered, or combined with any other offer except as the program terms allow.
  • May be capped, expire, or be revoked if the referred account is later closed for fraud, chargeback abuse, or violation of these Terms.
  • Will be reflected on the Driver's Stripe invoice as a coupon or discount line — they do not result in a separate payment to the Driver.

You are solely responsible for determining the tax treatment of any RideAtrium-related income, credit, or discount in your jurisdiction. Where RideAtrium or its payment processor is required by the Internal Revenue Service or equivalent state authority to issue an information return (for example, IRS Form 1099-NEC when total payments meet or exceed $600 in a calendar year), RideAtrium or Stripe will do so using the information on file for your account; it is your responsibility to keep that information current.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RIDEATRIUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

RIDEATRIUM MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE AVAILABILITY OF ANY DRIVER, THE QUALITY OR SAFETY OF ANY RIDE, OR THE CONDUCT OF ANY DRIVER OR RIDER. YOUR USE OF THE SERVICE AND ANY TRANSPORTATION SERVICES OBTAINED THROUGH IT IS ENTIRELY AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIDEATRIUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF RIDEATRIUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RIDEATRIUM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO RIDEATRIUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

18. Indemnification

You agree to indemnify, defend, and hold harmless RideAtrium and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Service;
  • Your violation of any provision of these Terms;
  • Your violation of any third-party right, including any intellectual property right, privacy right, or right of publicity;
  • Any ride, transaction, or other interaction facilitated through the platform between you and any other user.

19. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as modified by these Terms. The arbitration will be conducted in Salt Lake County, Utah, unless the parties agree otherwise in writing.

Class Action Waiver. YOU AND RIDEATRIUM EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. All disputes must be brought in your individual capacity only. Nothing in this paragraph waives a non-representative "individual" PAGA claim under California Labor Code § 2698 et seq., to the extent any such claim survives Viking River Cruises, Inc. v. Moriana, 142 S. Ct. 1906 (2022); any representative PAGA claim is expressly waived and, if not waivable, stayed pending individual arbitration.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@rideatrium.com within thirty (30) days of creating your account. Your notice must include your full name, email address associated with your account, and a clear statement that you wish to opt out of arbitration.

Small Claims Exception. Either party may bring an individual claim in small claims court if the claim qualifies and remains in that court.

Governing Law and Venue. These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. To the extent court proceedings are permitted under these Terms, you consent to personal jurisdiction and venue in Salt Lake County, Utah.

20. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or any applicable law, or if your account poses a risk to the safety or security of the Service or its users.

You may terminate your account at any time by using the account deletion feature in your dashboard or by contacting us at legal@rideatrium.com. Termination does not entitle you to a refund of any prepaid subscription fees except as required by law.

The following sections survive termination of your account or these Terms: Section 6 (Driver as Independent Contractor), Section 9 (Insurance Disclaimer), Section 13 (Driver Subscription Fees), Section 16 (Disclaimers), Section 17 (Limitation of Liability), Section 18 (Indemnification), Section 19 (Dispute Resolution), Section 22 (Review and Content Moderation), and any other provisions that by their nature should survive.

21. SMS Messaging Consent

By providing your phone number when booking a ride through the Service, you consent to receive transactional SMS messages from RideAtrium related to that booking. This includes, without limitation, post-ride feedback requests containing a link where you can rate and review your Driver. Consent to receive SMS messages is not a condition of booking a ride — if you prefer not to receive SMS, you may leave the phone number field blank at the time of booking.

Frequency. Message frequency is limited to a maximum of one (1) SMS per completed ride, further rate-limited to one message per Driver per rider phone number per 24-hour period. Standard message and data rates from your mobile carrier may apply.

Opt-Out. You may unsubscribe at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, QUIT, or END to any SMS you receive from us. You will receive a one-time confirmation that you have been unsubscribed, after which you will no longer receive SMS from RideAtrium unless you affirmatively re-subscribe by replying START, YES, or UNSTOP. Opt-out preferences are tracked on a per-Driver basis: opting out stops messages from the specific Driver(s) whose rides triggered the messages you received.

Help. Reply HELP or INFO at any time to receive a help message, or contact us at support@rideatrium.com for SMS-related questions.

Delivery Provider. RideAtrium uses Twilio, Inc. as its SMS delivery provider. Your phone number and the content of SMS sent to you may be transmitted to Twilio for the limited purpose of message delivery, in accordance with Twilio's privacy practices.

22. Review and Content Moderation

Riders may submit reviews of Drivers through the Service. RideAtrium displays reviews in order of submission and does not curate, rank, suppress, or promote reviews based on their content, the identity of the subject Driver, or the likelihood that a review favors or disfavors any party, except to the extent required to remove content under the narrow grounds set forth below. RideAtrium claims the protections of 47 U.S.C. § 230 for user-generated content hosted on the Service.

RideAtrium will remove a review only upon reasonable determination that it:

  • contains threats, slurs, or personally-identifying information ("PII") that a reasonable person would consider unsafe to publish;
  • relates to a ride the reviewer cannot verify occurred (no booking record, no matching driver / rider pair); or
  • is the subject of a valid court order or statutory takedown notice directed to RideAtrium.

A Driver who believes a review violates one of the above grounds may request removal by writing to legal@rideatrium.com with the review link, the Driver's booking reference, and a description of the basis for removal. RideAtrium will respond within a reasonable time. RideAtrium does not guarantee any outcome and expressly does not act as an arbiter of reputational disputes between Riders and Drivers.

23. Changes and Contact

These Terms are versioned. Each version has a semantic version number ("vMAJOR.MINOR.PATCH") and an effective date shown at the top of this document. When we materially change these Terms — for example, by introducing a new binding-arbitration carve-out, changing the subscription model, or expanding the scope of data we collect — we will:

  • give at least thirty (30) days' advance notice by email to the address on your account and by in-app banner on first login after the notice is posted;
  • require your explicit re-acceptance of the new version on your next login after the effective date — until you re-accept, booking functionality will be limited; and
  • maintain prior versions indefinitely at /legal/terms/archive so you can see exactly what you agreed to at any point in time.

For non-material changes (typo fixes, clarifications that do not change a party's obligations or rights), we may update these Terms without prior notice and without a version bump beyond the PATCH field.
